PVCC 2018 a Success!

Last week McMillan was proud to once again act as platinum sponsor to the Pacific Venture Capital Conference and Competition (PVCC), held on March 22, 2018.

PVCC is a unique, student run event that combines keynote speakers, hands-on workshops/seminars, and a competition which brings together teams of student entrepreneurs, as well as teams of aspiring venture capitalists, in a pitch-based format.

Morgan McDonald and I were on hand during the afternoon workshops to deliver our seminar “Starting Up on the Right Foot: Five Tips for Early Stage Entrepreneurs” to a lively crowd of engaged attendees.

The Entrepreneurship and Venture Capital pitches which took place in the evening represented the final round for each stream of the competition.

From the Entrepreneurship stream, we heard from three very talented and innovative teams, with widely varying business pitches, from a new piece of innovative restaurant equipment, to consumer level IOT-enabled mold detection, to an on-demand vehicle diagnostic and repair service.

The Venture Capital stream is a bit different, and involves teams picking one of the Entrepreneurship teams to evaluate, as if they were VCs being asked to invest.  An impressive amount of research and analysis stood behind the impressive presentations, as each team did a lot more than just kick the tires.

In the end, the VC team  calling themselves “Warrior Capital” (not to be confused with various actual firms using that name) won the day in the valuation stream.

On the Entrepreneurship side, Team Kitau emerged victorious, walking away with prize money and a bank of legal services courtesy of Startups @ McMillan, for their business plans to automate the labour-intensive (and labour-expensive) kitchen task of polishing and sorting silverware.



Ready to Rocket 2018 – Ignition On!


Nominations are now being accepted for the 2018 Ready to Rocket lists published each year by Rocket Builders.

The Ready to Rocket lists feature those BC technology companies that are best positioned to capitalize on the largest growth trends in the technology industry, and is broken into four categories:

  • CleanTech (includes renewable energy, green transportation, electric motors, green chemistry, lighting, environmental protection and any innovation that improves energy efficiency).
  • Life Sciences (includes biotechnology, pharmaceuticals, medical devices, healthcare information technology and other innovations improving health).
  • Digital Health (includes medical health record management, corporate wellness, personal health and wellness applications and wearables).
  • ICT (includes information, communications, wireless, new media and internet technologies).

Check out the nomination criteria, and then nominate a company you think should be on this year’s 16th Annual Ready to Rocket List.  Nominations are open until February 16, but the earlier you get a nomination in the more opportunity the selection committee will have to review. And if you think a company might be a bit early stage for the Ready to Rocket lists, they may still qualify for the Emerging Rockets lists, designed for those companies just entering the market.

The Ready To Rocket and Emerging Rockets lists will be announced on March 8, 2018.

Event Recap: Fundamentals of Funding #VSW2017

This past Tuesday (September 26, 2017) we were happy to welcome more than 80 people into our offices for a session held as a part of Vancouver Startup Week 2017.  The audience ranged from grizzled veterans of the startup world to fresh faced business school graduates eager to get their start, with a nice sprinkling of startup-related service providers thrown in for good measure.

Together, we learned a variety of things from our esteemed panel, which included Janelle Goulard of Pangaea Ventures, Noah Shipman of Vistara Capital, Peter-Paul Van Hoeken of FrontFundr, Cari Mai of Ayming and Saleh Tousi of Smartt.  These funding experts each walked us through their process, and provided tips on what they look for in startups, as well as sharing some war stories of times when they have seen things go very wrong and impact a startup’s ability to pursue funding.

Highlights of these stories included startups that failed to secure their IP, or were a bit too generous with who they added to the payroll.  Not everyone gave the same advice, which was a great reminder that different funders will have different goals, and be looking for different things in a startup.  But everyone agreed that having a solid plan, and speaking to professional advisors early can save a lot of pain down the road.

Another common theme from all of our panelists was trust.  Being able to trust your investors and advisors, and being trustworthy as an entrepreneur and as an organization, are keys to the relationships which you will build.  Not every relationship meets the marriage analogy, but every one of value requires trust.

Top 5 Employment Stumbling Blocks

A strong and dedicated team is the backbone of any successful startup. However, once you’ve reached the limits of what you and your co-founders can do yourselves, you’ll need to start hiring other people.  Developing your employee base is an important step in the development of your startup and hiring the right team involves many considerations: do they have the right skills, are they aligned with your vision, can you afford them?  Given the unique pressures your startup will face, it is sometimes all too easy to overlook critical issues when expanding your team.  We have compiled the below list of employment-related pitfalls to watch for whenever you and your team are considering hiring, right from your first employee. We’re here to help ensure that hiring your first employee is a key milestone in the growth of your company, rather than a stumbling block.

  1. Poaching talent may expose you to liability

People with experience growing and running a successful startup can be a great addition to your team. Particularly if your startup operates in a specialized industry, you might be considering hiring those with a specialized skill set, which may mean hiring from a competitor. But beware: your new hires may owe continuing obligations to their former employers, and you could expose your business to liability if there is a breach of those obligations.

All employees owe a duty of confidentiality to their employers, and many may have signed specific agreements to this effect. If the employee breaches that duty of confidentiality by revealing confidential information to their new employer or using such information in their new job, the new employer could also be liable. You, as the new employer, could be held vicariously liable for your new employees’ wrongful actions committed while acting within the scope of their employment. Note that there is a distinction here between confidential information (such as trade secrets, or other proprietary information) and general know-how and skills learned at a previous job. An employee is free to take their general knowledge and skills learned at one job to another job, without being unfairly restricted.

If your new employee breaches their duty of confidentiality to an old employer, a Court may grant an injunction against your business to prevent further use of the confidential information. This could significantly delay product development and business growth. Further, your business may also be liable for damages and be ordered to compensate the other business for the damage it suffered. Additionally, your business may be ordered to account for the profits it gained as a result of the wrongdoing, and be ordered to give up the profits to the other business.

Example: Confidential information generally fall into two categories; information regarding how a business is run and information regarding products and services. Confidential information for the former could include: identity of suppliers and the agreed upon terms, identity of customers, marketing plans, business development strategies, pricing structure. Confidential information for the latter could include: secret formulas, manufacturing processes, algorithms or code in software and other trade secrets.

Takeaway: It is certainly beneficial to hire someone with previous experience in the industry and someone who gets your business. However, the individual you want to hire likely has confidential information that could be relevant to your business. If you decide to hire this individual, impress upon her or him the consequences of disclosing confidential information and prohibit the employee from using or disclosing such information.  Similar consideration should be made for employees who may have had non-solicitation or other restrictive covenants in previous employment.

  1. Your contractor might actually be your employee

It’s important that your agreement clearly set out whether you’re engaging an individual as a contractor or an employee, but simply stating it isn’t enough: both of these roles have specific legal meanings.

Uber’s employment related litigation in the U.S. demonstrates that potentially mischaracterizing an employee as a contractor can cost a business hundreds of millions of dollars. In Canada, the common law provides more rights and protections to employees than contractors. Employees are also entitled to the rights and protections provided by various employment standards legislation. Mischaracterizing an employee as a contractor may result in your startup being in violation of those laws, and that could cost you a significant amount.

Even if both parties agree that the relationship was a contractor relationship, this is not determinative. Regardless of whether the contract explicitly uses the language of “independent contractor”, courts will still examine the surrounding circumstances and weigh a variety of factors to determine the proper classification. Some (but not all) of the factors courts will likely consider include:

  • the degree of control the employer is entitled to exercise over the individual
  • whether the individual provides their own equipment or tools
  • who bears the chance of profit and the risk of loss
  • whether the individual receives a fixed and regular amount of compensation, group insurance benefits, pension or other benefits
  • whether the individual hires their own helpers
  • whether the individual is paid while away from work (i.e. vacation pay)
  • whether the individual provides services for any other entity or whether they are prevented from working for competitive entities

Example: You hire Melanie and the agreement between your business and Melanie states that she is an independent contractor. She is responsible for going door-to-door with promotional material and selling your product. Her pay is entirely commission-based and she receives some training on how to appropriately sell the product. She is required to wear a t-shirt with the company logo while working. In this situation, Melanie could be considered to be an employee rather than a contractor.

Takeaway: If you are considering hiring a contractor, consider the list of factors above for each contract, or use our Tax Assessment Tool as a starting point (but please note this tool is for general information purposes only, and prepared from a tax perspective). If you think there is any risk the contract could be close to the line, it is a good idea to speak with a lawyer, particularly since the factors are not exhaustive. Be wary that the analysis will change as the relationship develops and as the work changes. Someone could begin a contract as an independent contractor and over the course of the work, shift closer to an employee relationship or dependent contractor relationship. Reassess the situation at least annually, as the longer the relationship continues, the more risk the person will be found to be an employee or dependant contractor.

  1. Your intern might actually be your employee

Similar to mischaracterizing an employee as a contractor, some employers incorrectly assume that their obligations towards their interns differ from employees. Many jurisdictions in Canada have imposed restrictions on who may be considered an intern, and these may differ from province to province.

In Ontario, unpaid internships are impermissible unless the internship falls under one of the three narrowly construed exemptions provided by law:

  • Internships that are part of a program approved by a secondary school board, college, or university;
  • Internships that provide training for certain enumerated professions, including architecture, law, public accounting, veterinary science, dentistry, and optometry; and
  • Internships that meet the six conditions required for the intern to be considered a “trainee”.

In British Columbia, unpaid internships are also impermissible unless the internship falls under one of the following narrowly construed exemptions provided by law:

  • Many employment standards, including minimum wage, hours of work, overtime, rest periods, etc. do not apply to professionals, or people training to be professionals, in designated fields such as doctors, lawyers, nurses, engineers, and accountants.
  • Students who are enrolled at a secondary school who are engaged to work at the secondary in which they are enrolled, in a work study, work experience, or occupational study class, are excluded employment standards minimums.

There is also a key distinction between practicums and internships. Generally, a practicum is a part of a formal education process for students enrolled in a post-secondary institution that involves the supervised practical application of previously classroom taught theory related to course study. A practicum is hands-on training that is required by the curriculum of the program, and will result in a certificate or diploma. As such, a practicum is not considered to be “work”.

Internships however, are considered on-the-job training offered by an employer to provide a person with practical experience. As such, internships are generally considered “work”, and must be paid in accordance with the minimum standards as set out therein, including hours of work, minimum wage, overtime pay, vacation pay, etc.

There are no exemptions for startups.

Example: If Susan does not fit into a specific category in the province in which she is working, then Susan is not an intern, even if you and Susan both thought she was. In this situation, Susan is entitled to the same rights as any other employee, including minimum wage, overtime pay, vacation pay, etc.

Takeaway: If you wish to take on an intern, ensure that you know what the requirements are in advance.

  1. Your after-the-fact employment agreement might be void

Startups often begin as just a loose collection of people working towards an idea. It is not uncommon for a startup to have employees without any documentation. If you do not yet have a standard employment agreement, you might be considering hiring a few employees and setting out the details in a written agreement later. The problem is, if the employee begins work without a written contract, and you want them to sign a written contract after-the-fact, that written contract will be void unless new consideration (i.e. something of value) is provided to the employee when they sign the contract.

This is because even without a written contract, an oral contract exists at the time the offer of employment was accepted. That means that any contract that is made after the initial oral agreement may be interpreted as an amendment to the original contract. In order for the amending contract to be valid, the employer needs to provide additional consideration. Simply promising continued employment, without anything more of value passing to an existing employee, is not good consideration for any new terms.  Even if you think that you are only formalizing the agreement you already have, consider whether you had expressly agreed to every single term in the employment agreement.  Chances are, you didn’t.

Example: Julie accepts an offer of employment during a conversation with you, and together, you discuss the basic terms of the agreement, such as salary, hours and job duties. Two months after Julie starts working, you want Julie to sign a formal written contract, which also contains a non-solicitation clause. Since the non-solicit clause was not discussed in the original offer, this written contract is an amendment to the original verbal agreement. In order for this written contract to be valid, there must be additional consideration flowing from you to Julie to compensate for the fact that Julie will be disadvantaged by the non-solicit clause. That is, Julie is giving you something extra, so you need to give her something extra.  Additional consideration could take the form of a pay raise, new benefit, stock option, bonus, etc., but should be something more than a minimal amount (e.g. $1). Even if Julie signs the contract, without additional consideration, the contract is invalid.

Takeaway: Have your employment agreement ready when you are offering employment, or make the simple offer conditional upon signing the full agreement. If the employee has begun work before signing an employment agreement, it is prudent to consult a lawyer. Otherwise, you may find that years later, the written contract was not a valid contract.

  1. Your non-competition agreements might be unenforceable

It is always important to protect your intellectual property at the outset of the employment relationship. One method is by including restrictive covenants into the employment agreement that each employee signs. Restrictive covenants include intellectual property, non-competition, non-solicitation and confidentiality provisions. Non-competition agreements generally prevent former employees from working for a competitor or opening their own business as a competitor. Non-solicitation covenants prevent former employees from soliciting your clients, customers or employees. Confidentiality agreements expand on the employee’s general duty, and prevent the former employee from using your confidential information after leaving the organization.

Unfortunately, a poorly drafted restrictive covenant risks being struck down in its entirety. A court will assess the covenant to see if it is reasonable at the time it is entered into. If the covenant is unreasonably broad in scope in terms of the type of activity being restricted, the duration of the restriction or the geographical scope of the restriction, the covenant will be unenforceable.

Example: Suppose your standard employment agreement includes a clause which prevents your former employees from competing with you within the “Metropolitan City of Vancouver”. This clause will likely be unenforceable since the term “Metropolitan City of Vancouver” is ambiguous and not a clearly defined geographic area. Also, if the agreement contains a clause preventing former employees from soliciting business from any “entity which was a customer of the company during the time of the employment”, this may be unenforceable particularly if the employee could not possibly know all the customers of the employer.

Takeaway: You will need to ensure that your restrictive covenants are not broader than what is reasonably necessary to protect your legitimate proprietary interests. This is not an easy task as many factors affect whether the covenant is reasonable. In addition, many courts are reluctant to enforce non-compete provisions against employees (particularly lower level employees), as an unfair restraint on their ability to earn a living.


Once you’ve decided to hire an employee (or a contractor, or an intern), it’s a good idea to seek legal advice, to make sure that you have the proper paperwork, and a good understanding of your specific risks, so that you can protect your company over the long term.  Legal counsel that has been through the process of fixing issues down the line can help you prevent them from the outset.

Prohibition to Go Up in Smoke – Introduction to the Cannabis Act

Last week the Canadian Federal government tabled a pair of bills which, assuming they pass through the parliamentary process necessary in order to become law, will establish a framework for the legalized (but still highly regulated) production, sale, distribution and possession for non-medical purposes of cannabis in Canada.

In addition to possession and personal grow rights, the Cannabis Act (the short title for one of these bills) also sets the groundwork for the production and sale of derivative products, initially including oils and seeds, and, subject to regulations still to come, food, beverages, and likely a host of other products which will be developed over time.

Legalization does not come without restriction.  A variety of issues have yet to be determined, such as specific advertising restrictions, and how each of the provinces and territories will enact their own rules and regulations around production, sale and other licensing of cannabis and cannabis-related products.

One thing is for certain though: with the official end of cannabis prohibition on the horizon, the marijuana industry in Canada is about to see an explosion of growth.
